1. Agreement & Acceptance

These Terms of Service ("Terms") are a binding agreement between you and Tossie Advisory Group, LLC ("TAG," "we," "us," or "our"). By clicking "I Agree," creating an account, redeeming an access or trial code, purchasing a service, or otherwise accessing or using any part of the TAG Ecosystem, you agree to these Terms. If you do not agree, do not use the TAG Ecosystem.

If you use the TAG Ecosystem on behalf of a company or other organization, you represent that you are authorized to accept these Terms on its behalf, and "you" includes that organization.

You consent to entering into these Terms electronically and agree that your electronic acceptance is the legal equivalent of a handwritten signature. TAG records the date, time, Terms version, and related technical information of each acceptance.

2. What These Terms Cover

The "TAG Ecosystem" means every website, application, tool, report, and service that TAG operates or offers, now or in the future, including:

Some tools or offers may carry additional terms (for example, a promotion's eligibility rules). Those terms are part of these Terms; if they conflict, the additional terms control for that tool or offer only.

3. Eligibility

You must be at least 18 years old and able to form a binding contract to use the TAG Ecosystem. The TAG Ecosystem is intended for users in the United States. You may not use it if you are barred from doing so under applicable law, or if TAG has previously suspended or terminated your access.

4. Accounts, Access Codes & Trials

5. Right to Refuse Service

TAG reserves the right, in its sole discretion and to the fullest extent permitted by law, to refuse, limit, suspend, or discontinue service to anyone, at any time, for any reason or no reason, including (without limitation) if TAG believes a person or organization:

TAG will not refuse service on any basis prohibited by applicable anti-discrimination law. TAG may also cancel or decline any order, application, or request for services. If TAG terminates a paid subscription without cause, TAG will refund the unused, prepaid portion of the current billing period; no refund is owed if termination is for a violation of these Terms.

6. TAG's Intellectual Property

The TAG Ecosystem and everything in it is owned by TAG or its licensors and is protected by United States and international copyright, trademark, trade dress, trade secret, and other intellectual property laws. All rights not expressly granted to you are reserved. TAG's property includes, without limitation:

Nothing in these Terms transfers any ownership to you. You may not use any TAG Mark, or any confusingly similar name, logo, or design, without TAG's prior written permission.

7. Your Limited License

Subject to these Terms and payment of any applicable fees, TAG grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the parts of the TAG Ecosystem your plan includes, solely for your own personal use or the internal business use of your own organization. You may download, print, and keep reports generated for you and share them with your own advisors, employer, or prospective employers for that purpose. The license ends automatically if you breach these Terms or your access ends.

8. Prohibited Conduct, Including Cloning

You agree not to, and not to help or allow anyone else to:

  1. Copy or clone the TAG Ecosystem or any substantial part of it, including its layout, look and feel, report formats, workflow, feature set, text, or design, whether by direct copying, screenshots, manual re-creation, or AI-assisted re-creation;
  2. Build, market, or operate a competing or substantially similar product or service using, based on, or derived from the TAG Ecosystem, its output, or any information obtained through it;
  3. Repackage, resell, rebrand, white-label, sublicense, rent, or commercially redistribute any part of the TAG Ecosystem or its output, or offer it as part of your own business's services, without a written agreement with TAG;
  4. Scrape, crawl, spider, or harvest any content or data by automated means, or use bots, scripts, or headless browsers to access the TAG Ecosystem;
  5. Reverse engineer, decompile, disassemble, or attempt to discover source code, scoring logic, thresholds, prompts, or trade secrets, including by "prompt injection" or by submitting inputs designed to make a tool reveal its instructions;
  6. use the TAG Ecosystem or its output to train, fine-tune, or evaluate any machine learning or AI model, or to build a dataset;
  7. frame, mirror, or embed any part of the TAG Ecosystem on another website or app;
  8. remove, obscure, or alter any copyright, trademark, disclaimer, or other notice;
  9. share, sell, or publish your login or access code, or access an account or tool you are not entitled to;
  10. circumvent, disable, or interfere with tier gating, usage limits, payment, security, or access controls;
  11. upload content you do not have the right to use, or content that is unlawful, infringing, or contains malware;
  12. use the TAG Ecosystem in a way that violates any law, including employment, privacy, and securities laws, or to deceive an employer or anyone else; or
  13. overload, disrupt, or attempt to gain unauthorized access to TAG's systems or the services TAG relies on.

Accessing the TAG Ecosystem to collect information for the purpose of copying it, or for a competitor, is unauthorized access and is outside the scope of any license granted in these Terms.

9. Enforcement & Remedies

You acknowledge that a breach of Sections 6, 7, or 8 would cause TAG irreparable harm that money damages alone could not adequately remedy. Accordingly, in addition to any other remedies available at law or in equity, TAG is entitled to seek temporary, preliminary, and permanent injunctive relief, without posting a bond to the extent permitted by law, in any court of competent jurisdiction.

If you breach Sections 6, 7, or 8, you agree that TAG may also seek: (a) its actual damages and any profits you obtained from the breach; (b) statutory damages where available; (c) its reasonable attorneys' fees, costs, and expenses of enforcement, including investigation and expert fees; and (d) destruction or surrender of all copied or derived materials. TAG may monitor use of the TAG Ecosystem, keep records of access and acceptance of these Terms, and use technical measures to detect copying, and may use those records as evidence. TAG may report suspected violations to law enforcement and to hosting providers, domain registrars, and platforms.

10. Your Content (Resumes & Inputs)

"Your Content" means resumes, job listings, financial figures, business information, and anything else you submit to the TAG Ecosystem. You keep ownership of Your Content. You grant TAG a non-exclusive, worldwide, royalty-free license to host, process, transmit, analyze, and display Your Content solely to provide, maintain, secure, and improve the TAG Ecosystem for you, and to comply with law. TAG does not sell Your Content.

To generate results, Your Content may be sent to third-party AI and data providers TAG uses (see Section 15). Do not submit Social Security numbers, financial account numbers, passwords, medical records, or other sensitive information that a tool does not ask for. You represent that you have the right to submit Your Content and that it does not violate anyone's rights. TAG may delete Your Content according to its retention practices, and you are responsible for keeping your own copies.

11. AI-Generated Output

Many TAG tools use artificial intelligence alongside deterministic calculations. AI output can be incomplete, outdated, or wrong, and the same input can produce different results at different times. You are responsible for reviewing all output and for any decision you make or action you take based on it. Resumes, cover letters, and other documents prepared with TAG's help should be checked by you for accuracy before you use them; you are solely responsible for the truthfulness of anything you submit to an employer.

12. Not Financial, Legal, or Employment Advice

Everything in the TAG Ecosystem is for educational and informational purposes only.

  • Not investment advice. TAG is not a registered investment adviser, broker-dealer, or financial planner. Stock selections, market reports, journal entries, screeners, and portfolio tools are not recommendations to buy, sell, or hold any security and are not personalized to your financial situation. Investing involves risk, including loss of principal. Past or hypothetical performance does not guarantee future results. Consult a licensed professional before investing.
  • Not legal, tax, or accounting advice. Business, operations, and financial modeling tools are planning aids, not professional advice.
  • No employment guarantee. ATS and OPM scores, resume reviews, and job matches are estimates. TAG does not guarantee that any resume will pass any applicant tracking system or federal screening, or that you will receive interviews, job offers, employment, or any particular compensation. Job listings come from third parties; TAG does not verify employers or listings.

13. Subscriptions, Payments & Refunds

14. Resume Services

The Read Resume Service and similar done-for-you services are performed by TAG staff with the help of TAG tools. Pricing, turnaround, and scope are stated at the time of purchase. Once work on your order has started, fees are non-refundable. You must provide accurate information about your history and qualifications, and you are responsible for reviewing and approving the final documents before use. TAG may decline any order. Deliverables are licensed to you for your personal job search; TAG retains ownership of its templates, formats, and methods.

15. Third-Party Services

The TAG Ecosystem relies on third-party services such as payment processing, hosting, AI model providers, market-data providers, job boards and job-search APIs, and mapping services. TAG is not responsible for third-party services, their availability, their content (including job listings and market data), or their handling of data, which is governed by their own terms. Links to third-party sites are provided for convenience only.

16. Feedback

If you send TAG ideas, suggestions, bug reports, or feedback (including as a beta tester), TAG may use them for any purpose without obligation or compensation to you, and you assign to TAG any rights you have in them.

17. Disclaimer of Warranties

To the fullest extent permitted by law, the TAG Ecosystem and all output are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation. TAG does not warrant that any result, score, selection, or report will be accurate, complete, or produce any particular outcome.

18. Limitation of Liability

To the fullest extent permitted by law, TAG and its owners, officers, employees, contractors, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any lost profits, lost wages, lost employment opportunities, investment or trading losses, or loss of data, arising out of or related to these Terms or the TAG Ecosystem, even if advised of the possibility of such damages. TAG's total liability for all claims arising out of or related to these Terms or the TAG Ecosystem will not exceed the greater of (a) the amount you paid TAG in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

19. Indemnification

You agree to defend, indemnify, and hold harmless TAG and its owners, officers, employees, contractors, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms, Your Content, your violation of any law or the rights of others, or your misuse of the TAG Ecosystem.

20. Suspension & Termination

You may stop using the TAG Ecosystem at any time. TAG may suspend or terminate your access as described in Section 5. On termination, your license ends and you must stop using the TAG Ecosystem and delete any TAG materials you copied in violation of these Terms. Sections 6, 8, 9, 10 (as to the license needed to wind down), 11, 12, and 16 through 25, and any accrued payment obligations, survive termination.

21. Dispute Resolution & Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court and to participate in a class action.

Informal resolution first

Before filing a claim, you and TAG agree to try to resolve the dispute informally by sending written notice describing it to the other party. If it is not resolved within 30 days, either party may start arbitration.

Binding individual arbitration

Except as stated below, any dispute arising out of or related to these Terms or the TAG Ecosystem will be resolved by final, binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules (or Commercial Arbitration Rules if you are a business). The Federal Arbitration Act governs this section. Arbitration may be conducted by video or phone, or in person in the county where you reside or another mutually agreed location.

Class action waiver

You and TAG agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding.

Exceptions

Either party may (a) bring an individual claim in small claims court, and (b) seek injunctive or other equitable relief in court to protect intellectual property, trade secrets, or confidential information, or to stop unauthorized access, copying, or cloning, including under Sections 6 through 9.

Opt-out

You may opt out of this arbitration agreement by emailing the contact address below within 30 days after you first accept these Terms, stating your name, email, and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

22. Governing Law

These Terms are governed by the laws of the State of Georgia and applicable federal law, without regard to conflict-of-law rules. For any matter not subject to arbitration, you and TAG consent to the exclusive jurisdiction and venue of the state and federal courts located in Georgia, except that TAG may seek injunctive relief in any court of competent jurisdiction.

23. Changes to These Terms

TAG may update these Terms as the TAG Ecosystem, its tools, and the law change. Each version is identified by its version date at the top of this page. When TAG makes a material change, TAG will ask you to review and accept the updated Terms the next time you sign in, and may also notify you by email or on the site. You must accept the updated Terms to keep using the parts of the TAG Ecosystem that require sign-in. For tools that do not require sign-in, the version in effect when you use the tool applies. TAG may also periodically ask you to re-confirm your acceptance even when nothing has changed. Changes do not apply retroactively to disputes that arose before the change.

24. Copyright Complaints (DMCA)

If you believe material in the TAG Ecosystem infringes your copyright, send a notice to the contact address below that includes: your signature; identification of the work; identification of the allegedly infringing material and where it appears; your contact information; a statement of good-faith belief that the use is unauthorized; and a statement, under penalty of perjury, that your notice is accurate and that you are the owner or authorized to act for the owner. TAG may terminate repeat infringers.
